AETHEON TERMS AND CONDITIONS

Welcome to Aetheon! These Terms and Conditions (“Terms”) govern your use of Aetheon’s platform, services, and products (collectively, the “Service”). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our Service.

1. DEFINITIONS  

“Company” refers to Aetheon, Inc., a Delaware C-Corp based in Washington State.  

“User” refers to any individual or entity that accesses or uses the Service.  

“Subscription” refers to the paid or free plan chosen by the User.  

“Content” refers to any text, graphics, videos, software, or other materials available through the Service.  

2. ACCEPTANCE OF TERMS  

By registering, accessing, or using the Service, you acknowledge that you have read, understood, and agree to these Terms. If you are using the Service on behalf of an organization, you warrant that you have the authority to bind the organization to these Terms.

3. SERVICE DESCRIPTION  

Aetheon provides an AI-powered platform that combines social learning with academy learning journeys to empower individuals in their career development. The Service is provided on a subscription basis with varying levels of access based on the chosen plan.

4. USER ACCOUNTS & REGISTRATION  

• To use certain features, Users must register for an account.  
• Users must provide accurate and up-to-date information during registration.  
• Users are responsible for maintaining the security of their account credentials.  
• Aetheon reserves the right to suspend or terminate accounts found to be in violation of these Terms.  

5. SUBSCRIPTION & PAYMENT  

• Aetheon operates on a monthly or annual subscription model, with discounts available for annual commitments.  
• Subscription fees are billed in advance and are non-refundable, except as required by law.  
• Users may cancel their subscription at any time, but access will continue until the end of the billing cycle.  
• Aetheon reserves the right to change pricing, but existing subscribers will be notified in advance of any changes.  

6. LICENSE & USAGE RIGHTS  

• Aetheon grants Users a limited, non-exclusive, non-transferable license to use the Service.  
• Users may not copy, modify, distribute, sell, or lease any part of the Service without Aetheon’s written consent.  
• Users are prohibited from reverse-engineering or attempting to extract source code from the Service.  

7. ACCEPTABLE USE POLICY  

Users agree not to:  

• Use the Service for any unlawful, fraudulent, or malicious purposes.  
• Engage in unauthorized access, scraping, or data mining.  
• Upload or share harmful, offensive, or infringing content.  
• Interfere with or disrupt the Service’s operation.  

8. DATA PRIVACY & SECURITY  

• Aetheon values User privacy and follows industry best practices to protect data.  
• Our Privacy Policy outlines how we collect, use, and store User data.  
• Users retain ownership of their data but grant Aetheon a license to use it to provide and improve the Service.  
• Aetheon will not sell User data to third parties.  

9. INTELLECTUAL PROPERTY RIGHTS  

• Aetheon retains all intellectual property rights in the Service, including trademarks, copyrights, and patents.  
• Users may not use Aetheon’s branding, logos, or content without prior authorization.  

10. THIRD-PARTY SERVICES  

• The Service may integrate with third-party tools and services.  
• Aetheon is not responsible for the availability or functionality of third-party services.  
• Users agree to abide by the terms of any third-party service they access through Aetheon.  

11. TERMINATION  

• Aetheon reserves the right to suspend or terminate any User’s access if they violate these Terms.  
• Users may delete their account at any time, but subscription fees remain non-refundable.  
• Upon termination, Users lose access to the Service, and any associated data may be deleted.  

 12. DISCLAIMER OF WARRANTIES  

• The Service is provided “as is” and “as available” without warranties of any kind.  
• Aetheon does not guarantee uninterrupted or error-free operation.  
• Users assume all risks associated with the use of the Service.  

13. LIMITATION OF LIABILITY  

• Aetheon is not liable for indirect, incidental, or consequential damages arising from Service use.  
• In no event shall Aetheon’s total liability exceed the amount paid by the User in the last 12 months.  

14. INDEMNIFICATION  

Users agree to indemnify and hold Aetheon harmless from any claims, damages, or losses arising from their use of the Service or violation of these Terms.  

15. MODIFICATIONS TO TERMS  

Aetheon reserves the right to update or modify these Terms at any time. Users will be notified of significant changes, and continued use of the Service constitutes acceptance of the revised Terms.  

16. GOVERNING LAW & DISPUTE RESOLUTION  

• These Terms are governed by the laws of the State of Delaware, United States.  
• Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA).  
• Users waive their right to participate in class-action lawsuits.
