AETHEON END USER LICENSE AGREEMENT (EULA)

This End User License Agreement (“Agreement”) is a legal contract between Aetheon, Inc. (“Aetheon,” “Company,” “we,” “us,” or “our”) and the individual or entity (“User,” “you,” or “your”) that accesses, downloads, installs, or uses Aetheon’s software, applications, and services (collectively, the “Software” or “Service”).  

By using the Software, you agree to be bound by this Agreement. If you do not agree, do not install, access, or use the Software.  

1. LICENSE GRANT  

Subject to compliance with this Agreement, Aetheon grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Software for personal or business purposes as permitted by your subscription plan.  

 1.1 License Scope  

  • This license allows use of the Software only for its intended purposes.  
  • The Software is provided as a service (SaaS) and does not include ownership of any part of its underlying code or infrastructure.  
  • The license is time-limited based on your subscription duration.  

1.2 Restrictions  

You may not:  

  • Modify, copy, distribute, resell, or sublicense the Software.  
  • Reverse-engineer, decompile, disassemble, or attempt to extract source code.  
  • Use the Software for any unlawful, fraudulent, or harmful activities.  
  • Circumvent security features, license restrictions, or access controls.  
  • Use the Software in a manner that interferes with or disrupts other users or the Service.  

2. OWNERSHIP & INTELLECTUAL PROPERTY  

  • Aetheon retains full ownership of the Software, including all copyrights, trademarks, patents, and trade secrets.  
  • You do not acquire ownership rights, only a license to use the Software.  
  • Any feedback, suggestions, or improvements you submit may be used by Aetheon without obligation or compensation.  

3. SUBSCRIPTIONS & PAYMENT  

  • The Software is offered on a subscription basis (monthly or annual plans).  
  • Fees are non-refundable, except as outlined in our [Refund and Cancellation Policy]().
  • Subscriptions automatically renew unless canceled before the renewal date.  

4. PRIVACY & DATA COLLECTION  

  • Aetheon collects and processes user data in accordance with our [Privacy Policy]().  
  • By using the Software, you consent to data collection for service operation, analytics, and support.  
  • Aetheon does not sell personal data to third parties.  

5. UPDATES & MODIFICATIONS  

  • Aetheon may update the Software, including bug fixes, security patches, and new features.  
  • You acknowledge that updates may be required for continued access to the Service.
  • Aetheon reserves the right to discontinue features or the entire Software at any time.  

6. TERMINATION  

Aetheon reserves the right to terminate your license if:  

  • You violate the terms of this Agreement.  
  • You attempt unauthorized access, reverse-engineering, or misuse of the Software.  
  • Your subscription is unpaid or canceled.  

Upon termination, you must immediately stop using the Software and delete any related materials.  

7. DISCLAIMER OF WARRANTIES  

  • THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND.  
  • AETHEON DISCLAIMS ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.  
  • WE DO NOT GUARANTEE THAT THE SOFTWARE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPATIBLE WITH ALL DEVICES.  

8. LIMITATION OF LIABILITY  

TO THE MAXIMUM EXTENT PERMITTED BY LAW:  

  • AETHEON SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, BUSINESS INTERRUPTION, OR DATA LOSS.  
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE LAST 12 MONTHS.  

9. INDEMNIFICATION  

You agree to defend, indemnify, and hold Aetheon harmless from any claims, damages, or liabilities arising from:  

  • Your use or misuse of the Software.  
  • Your violation of this Agreement or applicable laws.  
  • Any third-party claims related to your activities on the Service.  

10. COMPLIANCE WITH LAWS  

You agree to use the Software in compliance with all applicable laws and regulations, including data privacy laws (GDPR, CCPA, etc.).  

11. GOVERNING LAW & DISPUTE RESOLUTION  

  • This Agreement is governed by the laws of the State of Delaware, United States.  
  • Any disputes shall be resolved through binding arbitration in accordance with the American Arbitration Association (AAA).  
  • Users waive their right to participate in class-action lawsuits.  

12. CHANGES TO THIS AGREEMENT  

Aetheon may modify this Agreement at any time. Continued use of the Software after updates constitutes acceptance of the revised Agreement.
